Non Binding Offers.  The provisions of each offer submitted by way of Placemyoffer.com do not constitute a legally binding obligation as between the seller and the buyer until and unless the provisions of the offer are memorialized in a definitive agreement.  Consequently, neither the seller nor the buyer shall have any responsibility to each other unless a definitive agreement is executed between the parties.  Placemyoffer.com shall have no responsibility or liability to either the seller or buyer as it makes to representations or warrants to either in respect to any offer provided hereby.  Accordingly, each party is left to their own to negotiate and execute a definitive agreement.

Definitive Agreement.  Buyer and Seller shall be responsible for preparing the definitive agreement for purchase and sale.  Buyer and Seller shall negotiate in good faith to arrive at a mutually acceptable definitive agreement for approval, execution and delivery on the earliest reasonably practicable date.  NO OFFER SHALL BE BINDING AND LEGAL UNTL A DEFINITIVE AGREEMENT FOR PURCHASE AND SALE IS EXECUTED BETWEEN THE PARTIES.
